This User Generated Content Policy ("UGC Policy") governs the submission, use, and licensing of content created and submitted by Users on the NaijaAssets Platform. It applies to all User Content, including educational materials, assignments, questions, comments, media, and community contributions.

1. Definitions

Capitalized terms used in this UGC Policy have the meanings set forth in the Terms of Service unless otherwise defined below.

"User Content" means any content, materials, data, or information submitted, posted, uploaded, or otherwise made available on the Platform by Users, including but not limited to:

  • Assignments, homework, and academic submissions
  • Questions, answers, and explanations
  • Comments, feedback, and reviews
  • Videos, images, audio recordings, and multimedia
  • Documents, presentations, and written materials
  • Scholarship applications and competition entries
  • Rewards submissions and community content
  • Communications and messages
  • Profile information and biographical materials
  • Any other materials submitted by Users

"UGC" means User Generated Content as defined above.

2. Scope of This Policy

2.1 Application

This UGC Policy applies to all Users who submit, post, or share UGC on the Platform. It supplements the Terms of Service and provides specific terms regarding UGC.

2.2 Teacher Content

Content submitted by Teachers in their professional capacity is governed by the Teacher Agreement. However, where Teachers submit content outside their Teacher role, this UGC Policy may apply.

2.3 Relationship to Other Policies

This UGC Policy should be read together with the Terms of Service (Section 7 - User Generated Content), which sets forth the foundational license and ownership framework for UGC.

3. Ownership

3.1 User Ownership

You retain ownership of UGC you create and submit to the Platform. NaijaAssets does not claim ownership of your UGC.

3.2 Collaborative Content

For UGC created collaboratively with other Users or with AI Features, ownership is determined by the respective contributions and applicable law. The license granted to NaijaAssets under this Policy applies to any UGC you contribute.

3.3 No Transfer

Nothing in this Policy transfers ownership of the Platform, NaijaAssets intellectual property, or third-party content to you.

4. License to NaijaAssets

4.1 Grant of License

By submitting UGC to the Platform, you grant NaijaAssets a worldwide, perpetual, irrevocable, transferable, royalty-free, sublicensable license to use, host, store, reproduce, modify, adapt, translate, distribute, publish, publicly display, publicly perform, create derivative works from, and otherwise fully exploit your UGC for any purpose related to:

  • Operating, maintaining, and providing the Platform and Services
  • Improving, developing, and enhancing Platform features, including AI Features
  • Marketing, promoting, and advertising the Platform
  • Analyzing usage, learning patterns, and educational outcomes
  • Training, developing, and improving AI models and moderation systems where lawful
  • Creating aggregated or de-identified datasets for research or analytics
  • Archiving and preserving educational content
  • Sublicensing to affiliates, partners, successors, and assigns

4.2 Sublicensing

You acknowledge that the sublicensable nature of this license means NaijaAssets may authorize third parties, including Service Providers, affiliates, partners, and future entities, to exercise the rights granted under this license.

4.3 Survival

This license survives termination of your account or cessation of Platform use, to the extent necessary for the continued operation of the Platform and exercise of rights granted under this Policy.

5. License to Other Users

5.1 Platform Interaction License

By submitting UGC to public or semi-public areas of the Platform, you grant other Users a limited, non-exclusive, non-transferable license to access and view your UGC through the Platform as intended by Platform functionality.

5.2 No Additional Rights

This license does not permit other Users to download, reproduce, distribute, modify, or exploit your UGC outside the Platform except as expressly permitted by Platform features (such as authorized downloads) or by separate agreement.

6. Content Standards

6.1 Compliance

All UGC must comply with:

  • The Terms of Service
  • The Acceptable Use Policy
  • The Community Guidelines
  • The AI Usage Policy (where applicable)
  • All applicable laws and regulations

6.2 Prohibited UGC

You may not submit UGC that:

  • Infringes any third-party intellectual property, privacy, or other rights
  • Contains unlawful, defamatory, obscene, or offensive material
  • Depicts or encourages violence, self-harm, or illegal activity
  • Contains malware, viruses, or malicious code
  • Violates any applicable law or regulation
  • Impersonates any person or entity
  • Contains false, misleading, or deceptive information
  • Violates the educational integrity policies of the Platform

7. Review and Moderation

7.1 Moderation Rights

NaijaAssets reserves the right, but does not assume the obligation, to:

  • Review, screen, and monitor UGC
  • Edit, modify, or remove UGC at any time without notice
  • Refuse to publish or display UGC
  • Flag, label, or restrict access to UGC
  • Use automated systems, including AI-powered moderation, to enforce content standards

7.2 No Pre-Screening

We generally do not pre-screen UGC. However, certain UGC types (such as scholarship applications, rewards submissions, or Teacher materials) may be reviewed before publication.

8. Removal and Takedown

8.1 Removal by User

You may delete your UGC from the Platform through available account or content management features. However, copies may persist in backups, cached versions, or aggregated datasets. The license granted in Section 4 survives deletion as necessary for the continued operation of the Platform.

8.2 Removal by NaijaAssets

We may remove UGC at any time, for any reason, with or without notice.

8.3 Copyright Takedown

If you believe UGC on the Platform infringes your copyright, please see our DMCA Policy for takedown procedures.

9. No Compensation

9.1 Submission Without Compensation

Submission of UGC is voluntary and does not entitle you to compensation, payment, royalties, or any financial benefit from NaijaAssets, unless expressly agreed in writing through a separate agreement (such as the Teacher Agreement or Rewards Program Terms).

9.2 No Expectation of Publication

Submission of UGC does not guarantee publication, display, attribution, or continued availability on the Platform.

10. Warranties

By submitting UGC, you represent and warrant that:

  • You own your UGC or have all necessary rights, licenses, consents, and permissions to grant the licenses set forth in this Policy
  • Your UGC does not and will not infringe, misappropriate, or violate any third-party intellectual property rights, privacy rights, contractual rights, or other proprietary rights
  • Your UGC complies with all applicable laws, regulations, and Platform policies
  • Your UGC does not contain any viruses, malware, or harmful code
  • All factual information in your UGC is true and accurate to your knowledge

11. Third-Party Content

11.1 No Liability

NaijaAssets is not responsible for UGC submitted by Users. UGC reflects the views of the submitting User and not necessarily those of NaijaAssets.

11.2 Third-Party Claims

If you believe UGC on the Platform violates your rights, please contact us at legal@legal.naijaassets.com or use applicable reporting mechanisms.
