Document Purpose
This Teacher Agreement (the "Agreement") governs the relationship between NaijaAssets and individuals who create and deliver educational content on the Platform as Teachers. It establishes the terms of engagement, compensation, intellectual property arrangements, and performance expectations.

1. Definitions
Capitalized terms used in this Agreement have the meanings set forth in the Terms of Service unless otherwise defined below.
"Teacher Content" means all educational materials created, developed, or delivered by the Teacher on the Platform, including live lessons, Recordings, assignments, resources, notes, quizzes, presentations, and any related materials.
"Teacher Account" means the Teacher's account on the Platform used to access the Teacher Portal and manage Teacher Content.
2. Relationship
2.1 Agreement
By applying to become a Teacher or by accepting a Teacher invitation from NaijaAssets, you agree to be bound by this Agreement, together with the Terms of Service and all policies referenced therein.
2.2 Acceptance
This Agreement is effective upon your acceptance of a Teacher role, which may occur through application approval, invitation acceptance, or by submitting Teacher Content to the Platform.
3. Eligibility and Application
3.1 Qualifications
To be eligible as a Teacher, you must:
- Possess the necessary qualifications, expertise, and credentials in the subjects you teach
- Submit accurate and verifiable information during the application process
- Maintain the highest standards of academic and professional integrity
- Comply with all applicable laws and regulations
3.2 Application
Teacher applications are reviewed at our discretion. Approval is not guaranteed. We may request additional information, references, or verification of credentials.
3.3 Ongoing Eligibility
We may periodically review Teacher qualifications and performance. Continued eligibility is subject to meeting Platform quality standards, student satisfaction metrics, and compliance with Platform policies.
4. Teacher Obligations
4.1 Professional Conduct
Teachers agree to:
- Deliver educational content professionally, accurately, and in good faith
- Prepare adequately for lessons and teaching sessions
- Respect students regardless of nationality, religion, gender, race, ethnicity, disability, language, or background
- Maintain appropriate boundaries and avoid unprofessional relationships with students
- Comply with all Platform policies, including the Acceptable Use Policy and Community Guidelines
4.2 Scheduling and Attendance
Teachers agree to adhere to scheduled class times. In the event of unavoidable absences, Teachers must provide reasonable notice to NaijaAssets. Repeated absences or lateness may result in reassignment of classes or termination of this Agreement.
4.3 Exclusivity
Unless otherwise agreed in writing, this Agreement is non-exclusive. Teachers remain free to engage in other professional activities. However, Teacher Content submitted to the Platform is subject to the license grants in this Agreement.
5. Content Creation and Delivery
5.1 Content Standards
Teacher Content must:
- Be accurate, age-appropriate, and educationally sound
- Comply with all Platform policies and applicable laws
- Not infringe the intellectual property rights of any third party
- Not contain harmful, offensive, or inappropriate material
- Meet the quality standards established by NaijaAssets
5.2 Recordings
- Live classes may be recorded by NaijaAssets
- Recordings become part of the Platform's educational library
- Teachers acknowledge that Recordings may be used, edited, published, archived, reused, promoted, monetized, translated, subtitled, clipped, excerpted, and bundled as determined by NaijaAssets
5.3 Content Review
NaijaAssets reserves the right to review, edit, modify, remove, or refuse Teacher Content at any time, with or without cause, and with or without notice.
6. Intellectual Property and Licensing
6.1 Teacher Ownership
Teachers retain ownership of their original Teacher Content, subject to the broad license granted to NaijaAssets under this Agreement.
6.2 License to NaijaAssets
By submitting Teacher Content to the Platform, the Teacher grants NaijaAssets a worldwide, perpetual, irrevocable, transferable, royalty-free, sublicensable license to:
- Record, store, host, and archive Teacher Content
- Reproduce, edit, modify, adapt, and create derivative works from Teacher Content
- Publish, distribute, display, and perform Teacher Content
- Reuse, bundle, excerpt, clip, and incorporate Teacher Content into Subscriptions and products
- Transcribe, subtitle, caption, and translate Teacher Content
- Market, promote, and commercialize Teacher Content
- Use Teacher Content to train, improve, and develop AI Features and Platform services
- Sublicense Teacher Content to affiliates, partners, and successors
6.3 Survival of License
This license survives termination of this Agreement and the Teacher's relationship with NaijaAssets. NaijaAssets retains the right to continue using, displaying, and distributing Teacher Content already published on the Platform after termination. Teachers may not later demand removal of Teacher Content simply because they cease teaching on the Platform.
6.4 Waiver of Moral Rights
To the fullest extent permitted by applicable law, Teachers waive any moral rights or droit d'auteur in Teacher Content that would limit NaijaAssets' rights under this Agreement.
6.5 No Platform IP Rights
Nothing in this Agreement transfers to the Teacher any ownership or intellectual property rights in the Platform, NaijaAssets brand, software, AI systems, algorithms, or other proprietary technology.
7. Compensation
7.1 Payment Structure
Compensation for Teachers will be communicated separately and may be based on factors including but not limited to:
- Base rates for live instruction
- Revenue sharing from Subscriptions featuring Teacher Content
- Performance bonuses or incentives
- Royalty arrangements
- Fixed fees for content creation
7.2 Payment Terms
- Payments are made according to the schedule established by NaijaAssets
- Teachers are responsible for providing accurate payment information
- Taxes and deductions are the Teacher's responsibility unless otherwise required by law
- NaijaAssets may withhold payments pending verification of compliance with this Agreement
7.3 Changes to Compensation
Compensation structures, rates, and payment terms may be changed at any time with notice to Teachers. Continued teaching on the Platform after changes take effect constitutes acceptance of the new compensation terms.
7.4 No Guarantee
NaijaAssets does not guarantee any minimum level of compensation, revenue, student enrollment, or class bookings.
8. Platform Policies
Teachers must comply with all applicable Platform policies, including:
- Terms of Service - Governing legal relationship
- Acceptable Use Policy - Prohibited conduct
- Community Guidelines - Community interaction standards
- AI Usage Policy - AI Feature use standards
- Privacy Policy - Data handling requirements
Teachers are responsible for ensuring their Teacher Content and conduct comply with these policies.
9. Term and Termination
9.1 Term
This Agreement begins upon acceptance of a Teacher role and continues until terminated in accordance with this section.
9.2 Termination by Teacher
Teachers may terminate this Agreement by providing written notice to NaijaAssets. Teacher Content already published on the Platform remains subject to the license granted in Section 6.
9.3 Termination by NaijaAssets
NaijaAssets may terminate this Agreement at any time, with or without cause, with or without notice. Grounds for immediate termination include but are not limited to:
- Violation of Platform policies or this Agreement
- Fraud, misconduct, or illegal activity
- Poor quality or student satisfaction metrics
- Platform changes or discontinuation of teacher-related features
9.4 Effect of Termination
Upon termination:
- The Teacher's right to access the Teacher Portal ceases
- Unpaid compensation due for completed services will be paid
- Teacher Content published on the Platform remains under the license granted in Section 6
- Surviving provisions of this Agreement continue in effect
10. Independent Contractor Status
10.1 Independent Contractor
The Teacher is an independent contractor and not an employee, agent, joint venturer, or partner of NaijaAssets. Nothing in this Agreement creates an employment, partnership, or agency relationship.
10.2 No Employment Benefits
Teachers are not entitled to employee benefits, including but not limited to health insurance, retirement plans, paid leave, workers' compensation, or unemployment benefits.
10.3 Control
NaijaAssets does not control the manner, method, or means by which Teachers perform their services, including work hours, location, and tools used. Teachers are solely responsible for their own tax obligations, insurance, and business expenses.
10.4 Sole Responsibility
Teachers are solely responsible for reporting and paying all applicable taxes, including income tax and self-employment tax, in their jurisdiction.
11. Disclaimers
THE PLATFORM, TEACHER TOOLS, AND AI FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE." NAIJAASSETS MAKES NO WARRANTIES REGARDING PLATFORM AVAILABILITY, STUDENT ENROLLMENT, REVENUE, OR THE SUCCESS OF TEACHER CONTENT.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NAIJAASSETS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT, INCLUDING LOST REVENUE, LOST OPPORTUNITIES, OR LOSS OF DATA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE COMPENSATION PAID TO THE TEACHER IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR IF NO COMPENSATION HAS BEEN PAID, ONE HUNDRED DOLLARS ($100).
13. Indemnification
The Teacher agrees to indemnify, defend, and hold harmless NaijaAssets from any claims, damages, losses, or expenses arising out of:
- Teacher Content that infringes third-party rights
- Teacher's violation of applicable laws or regulations
- Teacher's breach of this Agreement
- Claims arising from the Teacher's performance of services
14. Dispute Resolution
14.1 Informal Resolution
The parties agree to attempt informal resolution of any dispute for sixty (60) days before initiating formal proceedings. Written notice of any dispute shall be sent to legal@legal.naijaassets.com.
14.2 Arbitration
Any dispute arising out of or relating to this Agreement shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may bring claims in small claims court if eligible. The arbitration shall be conducted in English by a single arbitrator in New Mexico. Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
14.3 Class Action Waiver
Both parties waive any right to bring claims on a class, collective, or representative basis. If this waiver is held unenforceable, the entire dispute resolution provision shall be severed.
15. Governing Law
Prior to incorporation, this Agreement is governed by the laws of the State of New Mexico, United States of America, without regard to conflict-of-law principles. Upon incorporation, this Agreement shall be governed by the laws of the Company's state of incorporation, which is expected to be the State of New Mexico. Nothing in this section limits mandatory consumer or worker protections under applicable law.
16. Changes to This Agreement
We may modify this Agreement at any time. Teachers will be notified of material changes. Continued teaching on the Platform after changes take effect constitutes acceptance of the modified Agreement.
17. Miscellaneous
17.1 Entire Agreement
This Agreement, together with the Terms of Service and incorporated policies, constitutes the entire agreement between the parties.
17.2 Severability
If any provision is held unenforceable, the remaining provisions continue in effect.
17.3 Assignment
NaijaAssets may assign this Agreement without restriction. The Teacher may not assign without written consent.
17.4 Corporate Events
This Agreement automatically continues through any merger, acquisition, restructuring, or corporate transaction involving NaijaAssets.
