Document Purpose

These Rewards Program Terms govern the participation of Users in discretionary rewards programs offered by NaijaAssets. They establish the rules for earning, redeeming, and managing rewards earned through educational contributions, community participation, and other qualifying activities.

1. Definitions

Capitalized terms used in these Rewards Program Terms have the meanings set forth in the Terms of Service unless otherwise defined below.

"Rewards" means points, credits, discounts, monetary compensation, or other benefits granted to Users at NaijaAssets' discretion for qualifying activities.

"Rewards Program" means any program or initiative through which Rewards are offered, including content creation rewards, community rewards, referral rewards, and other discretionary programs.

"Qualifying Activity" means an activity designated by NaijaAssets as eligible for Rewards, which may include creating educational content, participating in community features, completing assessments, referring new Users, or other contributions.

2. Program Description

2.1 Program Purpose

NaijaAssets may offer Rewards Programs to encourage and recognize educational contributions, community participation, and platform engagement. Rewards are discretionary and do not create an entitlement or expectation of ongoing compensation.

2.2 Program Variations

Different Rewards Programs may have specific terms, earning rates, and redemption options. Program-specific terms will be communicated through the Platform and are incorporated into these Terms.

3. Eligibility

3.1 General Eligibility

You are eligible to participate in Rewards Programs if you:

Have an active account on the Platform
Are in good standing and not suspended or terminated
Comply with all applicable Platform policies
Meet any additional program-specific eligibility requirements

3.2 Age Requirement

Where Rewards have monetary value, additional age or parental consent requirements may apply to minor participants.

3.3 Prohibited Participants

NaijaAssets employees, contractors, and their immediate family members may be ineligible for certain Rewards Programs, as specified in program terms.

4. Earning Rewards

4.1 Qualifying Activities

Rewards may be earned through activities determined by NaijaAssets, including but not limited to:

Creating and submitting educational content (videos, assignments, resources, notes)
Participating in community discussions and helping other learners
Completing assessments, quizzes, and learning milestones
Referring new Users to the Platform (subject to separate Affiliate terms)
Participating in contests, competitions, or promotions
Contributing feedback and suggestions
Any other activity designated as a Qualifying Activity

4.2 Earning Rates

The rate at which Rewards are earned is determined by NaijaAssets and may vary by activity, program, user, and time period. Current earning rates are provided through the Platform and are subject to change.

4.3 Approval Required

Rewards for content submissions and certain activities are subject to review and approval. Approval is not guaranteed. Rewards are earned only upon our confirmation.

4.4 Caps and Limits

We may impose caps, limits, or maximums on Rewards earnings per user, per day, per program, or per any other period, as determined in our sole discretion.

5. Reward Types

5.1 Types of Rewards

Rewards may include:

Platform credits applicable toward Subscriptions or purchases
Subscription discounts or free access periods
Monetary compensation (where applicable)
Badges, achievements, or recognition
Merchandise or physical goods
Exclusive access to features or content
Other benefits as determined by NaijaAssets

5.2 Reward Classification

Rewards may be classified as taxable income in certain jurisdictions. Recipients are responsible for understanding and complying with applicable tax obligations.

6. Redemption

6.1 Redemption Process

Rewards may be redeemed in accordance with the process specified for each Rewards Program. Redemption is subject to availability and any terms specified at the time of redemption.

6.2 Minimum Thresholds

Minimum thresholds may apply for redemption of certain Reward types.

6.3 Non-Transferability

Unless otherwise specified, Rewards are personal to the recipient and may not be transferred, sold, bartered, assigned, or exchanged for cash.

6.4 No Guaranteed Redemption

NaijaAssets does not guarantee that a particular redemption option will remain available or that specific Rewards will be redeemable for any particular duration.

7. Expiration and Forfeiture

7.1 Expiration

Rewards may expire after a specified period, as communicated in program terms or through the Platform. Expired Rewards are forfeited without compensation.

7.2 Forfeiture

Rewards may be forfeited if:

Your account is suspended or terminated
You violate these Terms or Platform policies
You engage in fraud, abuse, or misconduct
The Rewards Program is modified or discontinued
You fail to meet ongoing eligibility requirements

7.3 No Cash Value

Unless expressly stated, Rewards have no cash value and are not legal tender. Accumulation of Rewards does not create a financial obligation on the part of NaijaAssets.

8. Discretionary Nature

8.1 No Entitlement

Rewards Programs are entirely discretionary. Participation does not create:

An employment relationship
An expectation of continued Rewards
A right to any particular Reward value, rate, or type
A contractual obligation to offer any particular program

8.2 No Vested Rights

You have no vested right in any Rewards, Rewards Programs, or earning rates. We may change, suspend, or terminate any Rewards Program at any time.

8.3 Modification of Rewards

We may modify the value, type, or availability of Rewards at any time, including Rewards already earned but not yet redeemed.

9. Prohibited Conduct

The following conduct is prohibited in connection with Rewards Programs:

Creating fake accounts or using multiple accounts to earn Rewards
Submitting low-quality, plagiarized, or automated content
Manipulating systems to artificially inflate engagement metrics
Engaging in fraudulent, deceptive, or abusive practices
Violating program-specific rules or Platform policies
Selling, trading, or transferring Rewards without authorization

10. Termination

10.1 Termination by User

You may cease participation in any Rewards Program at any time.

10.2 Termination by NaijaAssets

NaijaAssets may terminate your participation in Rewards Programs at any time, with or without cause, including for violation of these Terms or Platform policies.

10.3 Effect of Termination

Upon termination, all unredeemed Rewards are forfeited unless otherwise specified. No compensation will be provided for forfeited Rewards.

11. Disclaimers

REWARDS PROGRAMS ARE PROVIDED "AS IS" AND "AS AVAILABLE." NAIJAASSETS MAKES NO WARRANTIES REGARDING THE VALUE, AVAILABILITY, OR REDEEMABILITY OF REWARDS. WE DISCLAIM ALL LIABILITY ARISING FROM THE OPERATION, MODIFICATION, OR DISCONTINUATION OF REWARDS PROGRAMS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NAIJAASSETS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF REWARDS PROGRAMS, INCLUDING LOST REWARDS, LOST OPPORTUNITIES, OR LOST VALUE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE VALUE OF REWARDS EARNED BY YOU IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

13. Governing Law

13.1 Pre-Incorporation

Prior to incorporation, these Rewards Program Terms are governed by the laws of the State of New Mexico, United States of America, without regard to conflict-of-law principles.

13.2 Post-Incorporation

Upon incorporation, these Rewards Program Terms shall be governed by the laws of the Company's state of incorporation, which is expected to be the State of New Mexico.

13.3 Consumer Protections

Nothing in this section limits any non-waivable consumer protection rights you may have under applicable law.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute, you agree to contact us at legal@legal.naijaassets.com and attempt to resolve the dispute informally for a period of sixty (60) days.

14.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Rewards Program Terms or the Platform shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, rather than in court, except that you may assert claims in small claims court if the claims qualify. The arbitration shall be conducted in English by a single arbitrator in New Mexico.

14.3 Class Action Waiver

YOU AND NAIJAASSETS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, REPRESENTATIVE ACTION, OR CONSOLIDATED PROCEEDING. IF THIS CLASS ACTION WAIVER IS HELD UNENFORCEABLE, THE ENTIRE DISPUTE RESOLUTION PROVISION SHALL BE SEVERABLE.

16. Changes to These Terms

We may update these Rewards Program Terms at any time, including changing earning rates, redemption options, and program rules. Changes will be posted on the Platform. Continued participation after changes take effect constitutes acceptance.
