Document Purpose

This Payment Policy governs all payments, billing, and financial transactions on the NaijaAssets Platform. It supplements the Terms of Service and provides detailed terms regarding Subscriptions, billing, payment processing, and related financial matters.

1. Definitions

Capitalized terms used in this Payment Policy have the meanings set forth in the Terms of Service unless otherwise defined below.

"Payment Provider" means a third-party payment processor used to process transactions on the Platform, including Stripe and any future providers.

"Billing Period" means the recurring period (monthly or as otherwise specified) for which Subscription fees are charged.

"Grace Period" means the five-day period following a failed payment attempt during which the User may resolve the payment issue before Subscription suspension.

2. Payment Methods

2.1 Accepted Methods

NaijaAssets accepts payment methods made available through our Payment Providers, which may include:

  • Credit and debit cards
  • Bank transfers and direct debits
  • Mobile money and digital wallets
  • Other payment methods as introduced from time to time

2.2 Method Changes

The available payment methods may change over time. We may add, remove, or modify payment methods at any time without prior notice.

2.3 Authorization

By providing a payment method, you authorize NaijaAssets and our Payment Providers to charge the designated method for all amounts due, including recurring Subscription fees and any other charges you authorize.

3. Subscription Billing

3.1 Billing Cycle

Subscriptions are billed on a monthly recurring basis unless otherwise specified at the time of purchase. The billing cycle begins on the date of initial Subscription activation.

3.2 Automatic Renewal

All Subscriptions automatically renew at the end of each Billing Period unless cancelled before the renewal date. You authorize recurring charges without requiring additional authorization for each renewal.

3.3 Cancellation

You may cancel your Subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current Billing Period. No prorated refunds are provided for partial Billing Periods.

3.4 Pricing Changes

We may change Subscription pricing at any time. If we increase prices, we will provide notice where required by law. Continued use of the Subscription after the price change takes effect constitutes acceptance of the new pricing.

3.5 Promotional Pricing

Promotional or introductory pricing may be offered for a limited time. Regular pricing applies after the promotional period ends. Promotional terms will be specified at the time of offer.

4. Payment Processing

4.1 Third-Party Processors

We use third-party Payment Providers to process payments. Your payment information is transmitted directly to the Payment Provider and is subject to their terms and privacy policies. We do not store full payment credentials (such as complete credit card numbers) on our servers.

4.2 Processing Fees

We are not responsible for any fees charged by your financial institution, card issuer, or Payment Provider in connection with transactions on the Platform.

4.3 Failed Payments

If a payment attempt fails, we will make reasonable attempts to retry the transaction. You are responsible for ensuring that your payment method remains valid and has sufficient funds.

4.4 Payment Confirmation

Upon successful payment, you will receive a confirmation through the Platform or by email. You should retain these confirmations for your records.

5. Grace Period and Suspension

5.1 Grace Period

If payment is not successfully processed on the billing date, you have a five-day Grace Period to resolve the issue. During the Grace Period, your Subscription access may continue at our discretion.

5.2 Suspension

If payment is not received within the Grace Period, your Subscription will be suspended. During suspension:

  • Premium access and Subscription benefits are removed
  • Your account remains active
  • Your data, history, and Content are retained
  • You may still access free Platform features, if any

5.3 Reactivation

Your Subscription may be reactivated upon successful payment. Reactivation restores access to your Subscription benefits.

5.4 Extended Non-Payment

If payment remains unresolved for an extended period, we may convert your account to a free tier (if available) or take other actions as permitted under the Terms of Service.

6. Taxes

6.1 Tax Responsibility

You are responsible for all applicable taxes, duties, fees, levies, or government charges imposed in connection with your Subscription or purchases on the Platform.

6.2 Tax Calculation

Where required by law, we may calculate and collect applicable taxes at the time of payment. The amount of tax charged depends on your location, the nature of the Services, and applicable tax laws.

6.3 Tax Information

You agree to provide accurate tax-related information, including VAT numbers, GST registration, or other tax identifiers where applicable.

6.4 Tax Changes

We may adjust pricing, fees, or charges to account for changes in tax laws or tax obligations.

7. Currencies

7.1 Transaction Currency

All transactions are processed in the currency specified at the time of purchase. The available currencies may include the United States Dollar, Nigerian Naira, and other currencies as determined by NaijaAssets.

7.2 Currency Conversion

If your payment method is denominated in a different currency, your financial institution or Payment Provider may apply currency conversion fees. We are not responsible for these fees.

7.3 Future Currencies

We may add additional transaction currencies as we expand internationally.

8. Chargebacks and Disputes

8.1 Chargeback Policy

If you dispute a charge through your financial institution or Payment Provider (a "chargeback"), your account may be immediately suspended pending resolution.

8.2 Dispute Resolution

Before initiating a chargeback, we encourage you to contact us at legal@legal.naijaassets.com to resolve any billing issues directly.

8.3 Consequences of Chargebacks

If a chargeback is filed:

  • Your access to the charged Subscription may be suspended or terminated
  • Your account may be restricted or terminated
  • You may be responsible for chargeback fees and associated costs
  • Your information may be recorded in industry-wide fraud databases

In the event of a chargeback relating to a fraudulent transaction, we reserve the right to pursue legal action.

9. Payment Provider Changes

9.1 Provider Changes

We may change, add, or remove Payment Providers at any time. This may affect available payment methods, processing times, or billing practices.

9.2 Notification

We will provide reasonable notice of material changes to Payment Providers where practicable.

9.3 No Guarantee of Continuity

We do not guarantee that any particular Payment Provider will remain available for the duration of your Subscription.

10. Prohibited Payment Activities

The following activities are strictly prohibited:

  • Using stolen, unauthorized, or fraudulent payment methods
  • Requesting chargebacks without a valid legal basis
  • Manipulating payment systems, including testing payment failures in bad faith
  • Circumventing payment requirements through unauthorized access or system manipulation
  • Providing false billing information or identity information
  • Engaging in any activity that disrupts the Platform's payment infrastructure

11. Disclaimers

NAIJAASSETS IS NOT A PAYMENT PROCESSOR AND IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF PAYMENT PROVIDERS. PAYMENT PROCESSING IS SUBJECT TO THE TERMS AND POLICIES OF THE APPLICABLE PAYMENT PROVIDER. WE MAKE NO WARRANTIES REGARDING THE AVAILABILITY, RELIABILITY, OR SECURITY OF ANY PAYMENT PROVIDER'S SERVICES.

This Payment Policy should be read in conjunction with:

  • Privacy Policy - Handling of payment-related personal information

13. Changes to This Policy

We may update this Payment Policy at any time. Changes will be posted on the Platform. Continued use of paid Services after changes take effect constitutes acceptance of the updated Policy.
