Document Purpose

This Copyright Policy sets forth the copyright ownership framework for the NaijaAssets Platform and its content, including the rights of NaijaAssets, Teachers, Students, and other Users. It supplements the Terms of Service and the User Generated Content Policy.

1. Definitions

Capitalized terms used in this Copyright Policy have the meanings set forth in the Terms of Service unless otherwise defined below.

"Copyright" means the exclusive legal rights to reproduce, distribute, perform, display, transmit, and create derivative works from original works of authorship, as defined under applicable copyright law.

"Platform IP" means all intellectual property owned or licensed by NaijaAssets, including software, code, graphics, design, AI systems, algorithms, logos, brand elements, course structure, platform architecture, documentation, and all related technology and materials.

2. Platform Intellectual Property

2.1 Ownership

NaijaAssets owns or licenses all Platform IP. Nothing in this Policy or any other Platform policy transfers ownership of Platform IP to any User.

2.2 Reservation of Rights

All rights in Platform IP not expressly granted to Users under the Terms of Service are reserved by NaijaAssets.

2.3 Protected Elements

Platform IP includes, without limitation:

The NaijaAssets name, logo, and brand elements
The software, code, and technology comprising the Platform
AI systems, models, algorithms, and training methodologies
Platform design, layout, graphics, and user interface
Course structure, curriculum design, and educational framework
Recordings and educational content created by NaijaAssets
Documentation, policies, and instructional materials
Future technologies, products, and services

2.4 No Implied Licenses

No license or right in any Platform IP is granted or implied except as expressly set forth in the Terms of Service or a separate written agreement.

3. User Content Ownership

3.1 User Ownership

Users retain ownership of original content they create and submit to the Platform, subject to the licenses granted under the Terms of Service and User Generated Content Policy.

3.2 License to NaijaAssets

By submitting content to the Platform, Users grant NaijaAssets the broad, worldwide, perpetual, transferable, sublicensable license set forth in the Terms of Service. Full terms of this license are detailed in the User Generated Content Policy.

3.3 No Transfer of Copyright

The license granted to NaijaAssets does not transfer copyright ownership of User Content. Users retain their copyright rights, subject to the scope of the license granted.

3.4 Copyright Notice

Where Users post content on the Platform that contains their own copyright notice, NaijaAssets will use reasonable efforts to maintain such notice in connection with the content. However, the license granted permits NaijaAssets to modify, adapt, and create derivative works.

4. Teacher Content

4.1 Teacher Ownership

Teachers retain ownership of original teaching materials they create, subject to the license granted in the Teacher Agreement.

4.2 Broad License

Teachers grant NaijaAssets a comprehensive license to use, record, edit, publish, archive, reuse, promote, monetize, translate, subtitle, clip, excerpt, bundle, and commercialize Teacher Content, as more fully set forth in the Teacher Agreement.

4.3 Survival of License

The license granted by Teachers survives termination of their engagement with NaijaAssets. Published Teacher Content remains available on the Platform after a Teacher ceases teaching.

4.4 No Reversion

Teachers may not unilaterally revoke the license granted for Teacher Content already published on the Platform.

5. AI-Generated Content

5.1 Nature of AI Output

AI-generated content is produced by AI Features based on User inputs. The copyright status of AI-generated content varies by jurisdiction.

5.2 User Rights

To the extent permitted by applicable law, Users do not have exclusive copyright rights in AI-generated outputs, as such outputs may be similar or identical to outputs generated for other Users.

5.3 Platform Rights

NaijaAssets retains all rights in the AI Features, models, and systems that generate content. The underlying technology and processes are part of Platform IP.

5.4 No Guarantee of Copyrightability

We make no representation or warranty regarding the copyrightability of AI-generated content or the enforceability of copyright in such content.

6. Third-Party Content

6.1 Respect for Third-Party Rights

NaijaAssets respects the intellectual property rights of third parties. Users are required to respect the copyright and other intellectual property rights of others when using the Platform.

6.2 User Responsibility

Users are solely responsible for ensuring that content they submit does not infringe third-party copyrights.

6.3 Licensing Requirements

If you incorporate third-party copyrighted material into your content, you must have the necessary licenses, permissions, or rely on an applicable legal exception (such as fair use or fair dealing).

7. Infringement Claims

7.1 Reporting Infringement

If you believe that content on the Platform infringes your copyright, please follow the procedures set forth in our DMCA Policy for submitting a copyright infringement notification.

7.2 Investigation

We will investigate all valid infringement claims and take appropriate action, which may include removal of infringing content and termination of the accounts of infringing users.

8. Repeat Infringers

8.1 Policy

NaijaAssets maintains a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers of copyright or other intellectual property rights.

8.2 Determination

The determination of what constitutes a repeat infringer is made at our discretion based on the number, nature, and severity of infringement claims against a user.
