Document Purpose
This Affiliate Agreement (the "Agreement") governs the participation of Affiliates in the NaijaAssets referral and commission program. It establishes the terms for earning commissions by referring new Users to the Platform.

1. Definitions
Capitalized terms used in this Agreement have the meanings set forth in the Terms of Service unless otherwise defined below.
"Affiliate" means a User who has enrolled in the Affiliate program and promotes the Platform through referral links.
"Commission" means the compensation payable to an Affiliate for Qualifying Referrals, as determined by the then-current commission structure.
"Qualifying Referral" means a new User who: (a) registers for the Platform through an Affiliate's unique referral link; (b) activates a paid Subscription; and (c) satisfies any additional conditions established by NaijaAssets.
"Referral Link" means a unique URL or code assigned to an Affiliate for tracking referrals.
2. Eligibility and Enrollment
2.1 Enrollment
The Affiliate program is open to Users who meet eligibility criteria established by NaijaAssets. Enrollment is subject to application and approval. Approval is at our sole discretion and may be withdrawn at any time.
2.2 Eligibility
To be eligible, you must:
- Have a valid account on the Platform
- Provide accurate enrollment information
- Comply with all applicable Platform policies
- Not be located in a restricted jurisdiction
2.3 Multiple Accounts
Affiliates may maintain only one Affiliate account. Multiple accounts for the same individual or entity are prohibited.
3. Referral Tracking
3.1 Referral Links
NaijaAssets provides unique Referral Links or codes to Affiliates. Commissions are tracked based on referrals made through these links.
3.2 Attribution
A Qualifying Referral is attributed to the Affiliate whose Referral Link was used during the referral process. NaijaAssets' attribution and tracking records are final and binding.
3.3 Cookie Duration
Referral tracking cookies or similar mechanisms may have a limited duration as specified in the Affiliate dashboard. Referrals outside this window may not be attributed.
3.4 Self-Referral Prohibition
Self-referrals are strictly prohibited. Affiliates may not use their own Referral Link to earn Commissions on their own Subscriptions or purchases.
4. Commissions
4.1 Commission Structure
Commission rates, structures, and calculation methods are communicated through the Affiliate dashboard or other mechanisms. The current commission structure may be modified at any time with notice.
4.2 Qualifying Transactions
Commissions are earned only on Qualifying Referrals that meet all conditions. We reserve the right to determine what constitutes a Qualifying Referral and to modify qualifying criteria.
4.3 Commissions on Future Purchases
Unless otherwise specified, Commissions may be limited to initial Qualifying Referrals or may extend to future Subscription renewals, as determined by the then-current commission structure.
4.4 No Commission Guarantee
NaijaAssets does not guarantee any minimum Commission, number of referrals, or revenue. Affiliate earnings depend entirely on the Affiliate's promotional efforts and platform conditions.
5. Payment Terms
5.1 Payment Schedule
Commissions are paid according to the schedule published in the Affiliate dashboard. Payment is subject to minimum payout thresholds.
5.2 Payment Methods
Payments are made through available payment methods, which may include bank transfer, mobile money, platform credits, or other methods as determined by NaijaAssets. Payment methods may change over time.
5.3 Deductions
NaijaAssets may deduct applicable taxes, fees, or chargebacks from Commission payments as required by law or as specified in the commission structure.
5.4 Forfeiture
Commissions may be forfeited in cases of:
- Fraud or abuse of the Affiliate program
- Violation of this Agreement or Platform policies
- Account termination
- Refunds or chargebacks on referred Subscriptions
- Failure to meet minimum payout thresholds within the specified period
5.5 No Guarantee
Payment of Commissions is contingent on NaijaAssets receiving payment from the referred User. Commissions on refunded, charged back, or fraudulent transactions will not be paid or will be deducted from future payments.
6. Prohibited Activities
Affiliates may not:
- Use spam, unsolicited communications, or deceptive marketing practices
- Bid on NaijaAssets trademarks in paid advertising without prior written approval
- Misrepresent the Platform, its features, pricing, or value
- Create websites or content that impersonate NaijaAssets
- Use fraud, bots, fake accounts, or automated systems to generate referrals
- Engage in cookie stuffing, forced clicks, or deceptive tracking methods
- Promote the Platform in violation of any applicable law or regulation
- Use Referral Links in illegal, obscene, or inappropriate contexts
7. Fraud and Abuse
7.1 Monitoring
NaijaAssets monitors Affiliate activity for fraud and abuse. We reserve the right to investigate any suspicious activity at our discretion.
7.2 Consequences of Fraud
Fraudulent activity, including but not limited to self-referrals, fake accounts, and artificial inflation of referrals, will result in:
- Immediate termination of Affiliate status
- Forfeiture of all earned and unpaid Commissions
- Suspension or termination of the Affiliate's account
- Legal action, including claims for damages and recovery of amounts paid
7.3 Recovery
NaijaAssets reserves the right to deduct or recover Commissions paid on fraudulent or invalid referrals from current or future payments.
8. Intellectual Property
8.1 Limited License
NaijaAssets grants Affiliates a non-exclusive, non-transferable, revocable license to use NaijaAssets trademarks, logos, and promotional materials solely for the purpose of promoting the Platform under this Agreement.
8.2 Restrictions
Affiliates may not modify NaijaAssets branding or use it in a manner that suggests endorsement, partnership, or employment beyond the Affiliate relationship.
8.3 Termination of License
This license terminates automatically upon termination of this Agreement. Affiliates must immediately cease all use of NaijaAssets branding and promotional materials.
9. Term and Termination
9.1 Term
This Agreement begins upon acceptance into the Affiliate program and continues until terminated.
9.2 Termination by Affiliate
Affiliates may terminate this Agreement at any time by ceasing promotional activities or requesting removal from the program.
9.3 Termination by NaijaAssets
NaijaAssets may terminate this Agreement at any time, with or without cause, with or without notice.
9.4 Effect of Termination
Upon termination: (a) all rights and licenses granted under this Agreement cease; (b) unpaid Commissions for valid Qualifying Referrals made before termination will be paid in accordance with payment terms; (c) Commissions on future referrals cease.
10. Disclaimers
THE AFFILIATE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE." NAIJAASSETS MAKES NO WARRANTIES REGARDING THE PROGRAM, INCLUDING ANY WARRANTY OF AVAILABILITY, REVENUE, OR COMMISSION EARNINGS.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NAIJAASSETS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF THIS AGREEMENT, INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE COMMISSIONS PAID TO THE AFFILIATE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR IF NO COMMISSIONS HAVE BEEN PAID, ONE HUNDRED DOLLARS ($100).
12. Indemnification
The Affiliate agrees to indemnify NaijaAssets from all claims, damages, losses, and expenses arising out of:
- The Affiliate's promotional activities
- The Affiliate's violation of applicable laws
- The Affiliate's breach of this Agreement
- Third-party claims related to the Affiliate's marketing practices
13. Dispute Resolution
13.1 Informal Resolution
The parties agree to attempt informal resolution for sixty (60) days before initiating formal proceedings. Written notice of any dispute shall be sent to legal@legal.naijaassets.com.
13.2 Binding Arbitration
Any dispute arising out of or relating to this Agreement shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may bring claims in small claims court if eligible. The arbitration shall be conducted in English by a single arbitrator in New Mexico. Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
13.3 Class Action Waiver
Both parties waive any right to bring claims on a class, collective, or representative basis. If this waiver is held unenforceable, the entire dispute resolution provision shall be severed.
14. Governing Law
Prior to incorporation, this Agreement is governed by the laws of the State of New Mexico, United States of America, without regard to conflict-of-law principles. Upon incorporation, this Agreement shall be governed by the laws of the Company's state of incorporation, which is expected to be the State of New Mexico.
15. Changes to This Agreement
We may modify this Agreement at any time, including Commission structures, payment terms, and program conditions. Changes will be communicated through the Platform or Affiliate dashboard. Continued participation in the Affiliate program after changes take effect constitutes acceptance.
16. Miscellaneous
16.1 Entire Agreement
This Agreement, together with the Terms of Service and incorporated policies, constitutes the entire agreement.
16.2 No Relationship
Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship.
16.3 Assignment
NaijaAssets may assign this Agreement without restriction. The Affiliate may not assign without written consent.
16.4 Corporate Events
This Agreement automatically continues through any merger, acquisition, restructuring, or corporate transaction involving NaijaAssets.
